Online Learning Terms of Business

1. Background

   1. These Terms of Business (“Terms”) apply to all online courses, on-demand learning, recordings, and related digital content (“Courses”) supplied by Business Studio Innovators Limited (“Business Studio”, “we”, “us”, or “our”).

   2. By purchasing, accessing, or using any Course, you agree to be bound by these Terms.

2. Definitions
   Participant means the individual who accesses the Course.
   Purchaser means the person or entity that purchases the Course.
   Content includes all videos, recordings, slides, documents, templates, frameworks, and other materials provided as part of a Course.
   Platform means any third-party system used to deliver access to the Course, including email-based access links.

3. Course Access and Delivery
   Access to Courses is provided via a unique email link sent to the email address supplied at the time of purchase. Access is personal and must not be shared.
   Unless otherwise stated, access is provided for twelve (12) months from the date the access link is first issued.
   All Courses are delivered on-demand only.
   All recordings and content are available only via the access link provided.
   Participants are responsible for ensuring suitable internet access and compatible devices.

4. Updates and Changes
   Business Studio reserves the right to update, modify, replace, or withdraw Course Content at any time. Updates do not entitle participants to refunds or extensions.

5. Intellectual Property
   All Content is protected under the Copyright Act 1994 (NZ) and remains the exclusive intellectual property of Business Studio Innovators Limited.
   Participants are granted a limited, non-exclusive, non-transferable licence for individual learning use only.

6. Prohibited Use
   Content must not be uploaded to internal LMS systems, shared with others, used for group training, copied, adapted, or resold.

7. Multi-Licence Use
   Courses are sold on an individual-use basis only. Organisations requiring multiple-user access must apply directly for a multi-licence.

8. Payment
   All prices are stated in New Zealand dollars and are inclusive of GST, unless otherwise expressly stated.
   Payment must be made in full prior to access being provided.

9. Refunds
   No refunds are available once access has been provided, except where required by law.

10. Disclaimers
    Content is general information only and does not constitute professional advice.

11. Limitation of Liability
    Liability is limited to the fees paid in the six months preceding any claim, to the fullest extent permitted by law.

12. Consumer Guarantees Act
    Where the Purchaser is in trade, the Consumer Guarantees Act 1993 does not apply.

13. Termination
    Access may be suspended or terminated for breach without refund if in Business Studio Innovators Limited's sole discretion, you fail to comply with any term or provision of these terms.

14. Governing Law
    These Terms are governed by the laws of New Zealand.

15. General
    These Terms constitute the entire agreement and may be updated from time to time.

16. Your Feedback

    1. We value Your feedback. We aim to obtain, either formally or informally, a regular assessment of Our performance, which may include any suggestions as to how Our service can be improved, changed, or exceeds expectations.
